The Biggest Loser® Free Week Giveaway (the "Sweepstakes") is sponsored and administered by eDiets.com, Inc. 1000 Corporate Drive, Suite 600, Fort Lauderdale, FL 33334 (the "Sponsor"), whose decisions relating to the Sweepstakes and interpretations of these Official Sweepstakes Rules are final and binding in all respects.


Sweepstakes Term: The Sweepstakes begins 12:00 midnight Eastern Time ("ET") on August 1, 2010 and ends at 11:59:59 p.m. ET on August 31, 2011 ("Sweepstakes Period"). The Sweepstakes Period is divided into four sweepstakes quarters (each a "Sweepstakes Quarter"): August 1, 2010 through November 30, 2010; December 1, 2010 through February 28, 2011; March 1, 2011 through May 31, 2011; and June 1, 2011 through August 31, 2011. The Sponsor's computer will be the official clock of the Sweepstakes.


Who May Participate: To participate in the Sweepstakes, you must be a legal resident of the continental United States and 18 years of age or older at time of entry. The Sweepstakes is not open to employees of the Sponsor, NBC Universal, Reveille LLC, their respective affiliates, officers, directors, shareholders, members, agents or advisors, or to any of their respective immediate family or household members, whether or not related. The Sweepstakes is subject to all federal, state, and local laws and is void outside the continental United States and where prohibited or restricted by law. By entering the Sweepstakes, you agree to be bound by these Official Sweepstakes Rules.


How to Enter: During the Sweepstakes Term, log on to the Sponsor's website located at www.biggestlosermealplan.com (the "Web Site") and click on links to enter Biggest Loser FREE Week Giveaway. Subscribe to the Sponsor's newsletter (subscription is free) and click on "Enter Sweepstakes." Your entry must be received during the Sweepstakes Term to be eligible. All entries become the property of the Sponsor. LIMIT ONE (1) ENTRY PER EMAIL ADDRESS.


Selection of Winners: One Sweepstakes winner will be selected after the end of each Sweepstakes Quarter from among all entries received during that Sweepstakes Quarter. An employee of the Sponsor will conduct a computerized random drawing to select each winner. Entries received during one Sweepstakes Quarter will not be eligible for selection as winner in any other Sweepstakes Quarter.


Prize: Each winner will receive one (1) free week of the Biggest Loser Meal Plan - 7 Days with Snacks, valued at $178.60. The Sponsor will pay shipping and handling costs.


Odds: Your odds of winning depend on the total number of entries received during the Sweepstakes Quarter in which you enter the Sweepstakes.


Notification and Acceptance: Winners will be notified by email and will have 48 hours from the moment such notification is issued to respond to such notification by following the instructions provided therein. If a potential winner timely responds to such notification, the potential winner will be required to sign, notarize and return an Affidavit Of Eligibility/Liability And Publicity Release within 48 hours of notification or prize will be forfeited and an alternate winner selected. Return of any prize notification as undeliverable will result in disqualification and selection of an alternate winner. If a potential winner does not reply to the notification within 48 hours of its issuance, is ineligible, or cannot or does not comply with the Official Sweepstakes Rules, he/she will be disqualified, the prize will be forfeited and an alternate winner may be selected, at Sponsor's discretion, in a second drawing of all eligible entries received during the applicable Sweepstakes Quarter. By accepting a prize, each winner consents to Sponsor's and its designees' use of his/her name, city and state of residence, biographical information, voice, statements relating to the Sweepstakes or Biggest Loser Meal Plan, and photographs or other likenesses, for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity, without further compensation, permission or notification, except where prohibited by law.


No Substitutions: No substitution or transfer of prizes may be made, except if prizes become unavailable for any reason the Sponsor may award a substitute prize of equal or greater value. Prizes are not available for sale or re-sale. The recipient accepts responsibility for all federal, state and local taxes and fees in connection with a prize. Prizes are not redeemable for cash and must be accepted AS IS. The Sponsor does not provide any warranty on a prize.


General Conditions


Participants agree to be bound by these rules. By entering, participants release and hold harmless the Sponsor, NBC Universal, Reveille LLC, and their respective affiliates, officers, directors, shareholders, members, agents or advisors from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Sweepstakes or acceptance or use of a prize. If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes.


Sponsor may, at its sole discretion, disqualify any participant who (i) tampers with the entry process or the operation of the Sweepstakes or the Web Site; (ii) acts in violation of the Official Sweepstakes Rules; or (iii) attempts to disrupt, annoy, abuse, threaten or harass any other person. Any use of robotic, macro, automatic, programmed or the like entry methods will void all such entries by such methods. In the event of a dispute as to entries submitted by multiple users having the same email address, the authorized subscriber of the email address used to enter the Sweepstakes at the time of entry will be deemed to be the entrant. An authorized subscriber is the natural person who is assigned the email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address. Potential winners may be required to provide Sponsor with proof that the potential winner is the authorized account holder of the email address associated with the potentially winning entry.


Under no circumstances, including negligence, shall the Sponsor be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use a prize, or out of any breach of any warranty. This exclusion or limitation of liability will not apply to the extent that any applicable statute prohibits such exclusion or limitation of liability. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEB SITE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES; CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS REGARDING THESE LIMITATIONS OR RESTRICTIONS. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Sweepstakes Rules, or the rights and obligations of the participant and the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Florida.
